Solen Terms and Conditions

Effective Date: September 2, 2026. EZ Site Studio LLC d/b/a Solen.

  1. 1. Agreement

    These Terms and Conditions (“Terms”) are a binding agreement between you and EZ Site Studio LLC, doing business as Solen (“Solen,” “we,” “us”). By creating an account, checking the Terms box, entering your legal name, paying, or using Solen, you agree to these Terms. If you do not agree, do not purchase or use Solen.

  2. 2. Eligibility

    You must be 18 years of age or older. Minors are prohibited from purchasing or using Solen. You represent that the legal name you enter at checkout is your true legal name and constitutes your electronic signature.

  3. 3. The product

    Solen is a desktop second operator. It shares control of your computer to run Missions you assign. It is not a chatbot, mediator, or legal, medical, or financial advisor. Results depend on your machine, your connections, and the work you assign.

  4. 4. Accounts

    One Solen Account per purchaser unless we agree otherwise in writing. You are responsible for credentials, devices, and activity on your account. Notify us promptly of unauthorized use.

  5. 5. License

    Subject to these Terms and timely payment, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Solen client on computers you own or control. You may not reverse engineer, resell, sublicense, or use Solen to build a competing operator product.

  6. 6. Fees and billing

    Solen is billed monthly. Base is $8.99 per month for the second operator. Optional Solen AI Balance is sold in $5 monthly increments (Light $13.99, Heavy $18.99, Custom from $23.99). Paddle is the Merchant of Record: it collects payment, calculates sales tax/VAT, and runs the subscription. Prices exclude tax/VAT unless stated. Unused Solen AI Balance expires at period end, does not roll over, and is not cash or provider credit. Rates for managed AI include provider cost and Solen’s margin.

  7. 7. No refunds

    All fees are non-refundable. Cancellation stops the next charge. The current period is not refunded, including unused Solen AI Balance.

  8. 8. AI connections

    You may connect supported AI you already have: Codex via ChatGPT where officially supported, bring-your-own APIs, and local models. Consumer subscriptions apply only where the provider officially supports third-party integration. Claude Pro/Max credentials, Gemini account/CLI piggybacking, and SuperGrok as Solen intelligence are not included. You are responsible for your provider accounts, keys, and their terms.

  9. 9. Acceptable use

    You will not use Solen to violate law, harm others, bypass security, send spam, infringe IP, or operate Solen on machines you are not authorized to control. You will not attempt to extract, scrape, or abuse Solen-managed AI beyond your purchased balance and our rates.

  10. 10. Your content and machine

    You retain rights in your files and Missions. You grant Solen a limited license to process what is needed to operate the product on your machine. You are responsible for backups, permissions, and anything Solen does at your direction.

  11. 11. No professional advice

    Output may be wrong, incomplete, or outdated. You must verify work that matters — money, identity, legal, medical, academic integrity, and irreversible actions. Human-in-the-loop is required for those calls.

  12. 12. Intellectual property

    Solen, the wordmark, and the client are owned by EZ Site Studio LLC. These Terms do not transfer ownership. Feedback you send may be used without obligation.

  13. 13. Third parties

    Paddle, AI providers, and other services are third parties. Their terms govern their products. We are not liable for outages, policy changes, or acts of those parties.

  14. 14. Disclaimer of warranties

    SOLEN IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.

  15. 15. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLEN AND EZ SITE STUDIO LLC ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM IS CAPPED AT THE SUBSCRIPTION FEES YOU PAID TO US IN THE SIX (6) MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limits; in those cases the limit applies to the fullest extent allowed.

  16. 16. Indemnity

    You will indemnify and hold harmless EZ Site Studio LLC and its founders from claims arising out of your use of Solen, your Missions, your content, or your violation of these Terms or law.

  17. 17. Termination

    You may cancel anytime. We may suspend or terminate for breach, non-payment, or risk to the service. On termination the license ends; you must stop using and delete the client. Sections that should survive, including 7, 14, 15, and 16, survive.

  18. 18. Changes

    We may update these Terms. Continued use after the effective date of a change is acceptance. Material changes will be posted on this page with a new effective date.

  19. 19. Governing law

    These Terms are governed by the laws of the State of Connecticut, USA, without regard to conflict-of-law rules, except where prohibited. Courts in Connecticut have exclusive jurisdiction, except that we may seek injunctive relief anywhere.

  20. 20. Entire agreement

    These Terms are the entire agreement for Solen and supersede prior terms on the same subject. If a provision is unenforceable, the rest remains. You may not assign these Terms without our consent. Questions: solencustomersupport@gmail.com.
